Introduction to Terms and Conditions

Welcome to Shampoo W. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and Shampoo W LLC, a Michigan limited liability company (“Shampoo W,” “Site”, “we,” “us,” or “our”). Both Visitors and Customers are referred to as “you” or “your” in these Terms. These Terms govern your access to and use of our website, www.shampoow.com (the “Site”), and any purchase or use of products offered through the Site. We recommend reviewing these Terms and also our Privacy Policy at shampoow.com/privacy-policy, periodically as they may be updated from time to time.

Acceptance of These Terms and Conditions

PLEASE BE AWARE THAT THESE TERMS OF USE CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND US. YOU AGREE YOU ARE RESPONSIBLE FOR YOUR USE OF OUR SITE AND ANY RESULTING CONSEQUENCES. BY ACCESSING OR USING OUR SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE, DO NOT USE OUR SITE.

Scope and Applicability

These Terms apply to your use of the Site located at shampoow.com, including all subdomains and social media accounts on platforms such as Instagram, TikTok, Facebook, X, or Google. They also extend to other platforms and applications for mobile, tablet, and other smart devices licensed by us (“Site”). Additionally, all guidelines or policies and supplemental terms listed on our Site are incorporated into these Terms.

Modifications to Terms

Shampoo W reserves the right, in its sole discretion, to modify or update these Terms at any time. Changes will become effective upon posting. Your continued use of our Site following the posting of any changes constitutes your acceptance of those changes.

Eligibility

Our Site is intended only for individuals who are at least eighteen (18) years of age or the legal age of majority in their jurisdiction, whichever is greater.
By accessing or placing an order through our Site, you represent and warrant that:

You are at least 18 years old and legally capable of entering into a binding agreement; or
You are the parent or legal guardian of a minor under the age of 18 and are using our Site and placing an order on their behalf with full legal responsibility for the transaction.

If it is determined that an order was placed in violation of this section, we reserve the right to cancel the transaction and deny access to our Site.

Binding Agreement

If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” and “your” refer to that entity.

Product Information and Availability

We strive to ensure the accuracy of all product descriptions, pricing, and availability. However, we do not guarantee that all content on our Site is error-free or current. We reserve the right to correct any inaccuracies, change, or update product information, and cancel orders arising from such inaccuracies. Product availability is not guaranteed and may change without notice.

Placing Orders

We reserve the right, at our sole discretion and at any time after receiving any order from you for any of our products, to accept, refuse, place on hold, or cancel any order you submit to us, including the right to limit any quantities of our products you may wish to purchase. Your receipt of an order confirmation does not signify our acceptance of your order or a confirmation of our offer to sell, but simply an acknowledgment that we received your order.

After receiving your order, we may contact you to request clarification, additional or missing information regarding your order or your Account. It is your responsibility to deliver to us in a timely manner all additional information related to your order we may request. We reserve the right, in its sole discretion, to place your order on hold or even cancel it if any requested information is not received in time or is incomplete. Orders which we place on-hold may at any time thereafter be canceled by us if there is any missing information that we require. With respect to any such orders which we cancel for which you have, at the time of cancellation, already have made payment for our products in question, we will issue a credit or refund according to these Terms.

In the event we make a change to or cancel your order, we will attempt to notify you by contacting the contact email address or telephone number which you provide to us as part of your order on our Site. If you want to make any changes to an order, please contact us as soon as possible. Please note, however, that we do not guarantee that we will be able to make any changes to your order once placed, so check your selections carefully before placing your order.

Shipping and Fulfillment

Shipping Rates:

• A flat-rate standard shipping fee of $8 applies to orders with the product total below $99.

• Orders with the product total $99+ qualify for free shipping.

• Your shipping rate is displayed in your cart and reflected in your checkout total.

Billing Address Verification:

To protect against unauthorized purchases, your billing address entered at checkout must match the billing address on file with your financial institution (Apple Pay, Google Pay, PayPal, VISA, Master Card, American Express, Discover, debit cards). Orders that cannot be verified may be canceled at our discretion.

Shipping Address Policy:

For the security of our customers and Shampoo W, all orders are shipped exclusively to the billing address associated with the payment method used at checkout. This policy helps protect against fraud and ensures that only the authorized account holder receives the order.

Processing & Delivery:

We do not require a minimum purchase amount.
We reserve the right to limit orders to $500.
Orders are typically processed and shipped within two (2) business days of receipt.
Orders placed on weekends or federal holidays will start processing the next business day.
Standard delivery is generally three (3) to five (5) business days after processing. Please note these are estimates only and not guarantees. Shampoo W is not responsible for delays caused by carriers, weather, or other circumstances beyond our control.
The products sold on our Site is intended for personal use only, not for resale. Any suspected resale of our product for personal or business profit is strictly prohibited. We will not accept and reserve the right to cancel orders that appear to be for resale purposes.

Finality of Orders:

Please carefully review your order before submitting it at checkout. Once your order has been received by us, it cannot be modified or canceled. We immediately advance your order for processing and shipping.

Damaged, Lost, or Stolen Packages:

If your package contents are damaged, we are here to help you with your claim. You should document the damage with a description and images at the time of discovery. Do not discard or attempt to repair the damage, and contact the carrier promptly. Liability for damage during transit rests with the carrier, subject to their terms of carriage and declared value limits, according to carrier guidelines. If you need assistance with a claim, if you receive the wrong item(s), or have questions about any of our products, please feel free to get in touch with us on our Contact page and we can assist you promptly. After the carrier has marked your package as “delivered”, we are not responsible for loss or theft. Upon delivery of your package, liability for loss or theft passes from the carrier (USPS, UPS, FedEx) to you. You are encouraged to monitor the package tracking and ensure a secure delivery location. If you believe your package is lost or stolen after the carrier marks it “delivered”, please contact the carrier.

Shipping Coverage & Carriers:

•We ship exclusively to the 48 contiguous United States and the District of Columbia.

•Carriers are selected at our discretion and may include USPS, UPS, or FedEx. Some orders may ship in multiple packages.

•We do not ship to P.O. Boxes or APO/FPO/DPO boxes.

No Returns, Refunds, or Exchanges Policy

All sales are final. We do not accept returns, exchanges, or issue refunds.
This includes, but is not limited to, situations where you:

Do not like the product;
Feel the product did not meet your expectations;
Are dissatisfied with results, scent, texture, or performance;
Ordered the incorrect product;
Changed your mind after purchase;
Experienced any adverse, allergic, or unexpected reaction.

Payments and Authorizations

You acknowledge and agree that Shampoo W may utilize the services of third-party online payment processors or others to do so (for example, Apple Pay, Google Pay, PayPal, VISA, Master Card, American Express, Discover, debit cards). If you are directed to any Shampoo W third-party payment processor(s), you may be subject to terms and conditions governing the use of that third party’s service and that third party’s personal information collection practices.

We use PayPal for payments and other services. If you wish to use one of these services and pay on our Site, PayPal may collect the personal data you provide, such as payment and other identifying information. PayPal uses this information to operate and improve the services it provides to us and others, including for fraud detection, harm and loss prevention, authentication, analytics related to the performance of its services, and to comply with applicable legal requirements. The processing of this information will be subject to the PayPal Privacy Statement available at PayPal.com.

Additionally, Shampoo W reserves the right to obtain pre-authorization for fees or charges associated with Shampoo W products. Shampoo W does not control and is not responsible for, any fees or charges that may be charged by your bank, financial institution, or payment provider, with respect to Shampoo W’s collection of fees or payments, and Shampoo W expressly disclaims all (and you agree that Shampoo W will have no) liability in this regard. Shampoo W will take reasonable action to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the same payment method used for the original payout or payment by you.

Safety & Health Disclaimer

Our products are intended for adult personal use only. You are solely responsible for the safe storage and use of our products. Please store all products securely and out of the reach of children to prevent accidental contact, ingestion, exposure to eyes, or any other potential accidents. Shampoo W shall not be held liable for any harm, injury, or damages resulting from failure to follow these safety guidelines.

Use of our products may carry inherent risks. If an allergic reaction, illness, or any other adverse effect occurs, discontinue use immediately and consult a qualified medical professional. Shampoo W makes no guarantees regarding individual reactions or health outcomes from the use of our products.

Indemnification: Product Use

You agree to indemnify, defend, and hold harmless Shampoo W, its owners, officers, employees, affiliates, agents, suppliers, and contractors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including attorneys’ fees), including, but not limited to, claims brought by third parties, arising out of or related to:

Your purchase, use, misuse, or inability to use any of our products;
Any allergic reaction, sensitivity, injury, or adverse or unexpected effect allegedly caused by our products;
Your failure to review product ingredients, warnings, or instructions;
Your failure to perform a patch test prior to use;
Your violation of these Terms & Conditions;
Any false, misleading, or inaccurate information you provide.

This indemnification obligation applies regardless of whether such claims arise from negligence, product performance, dissatisfaction, or individual sensitivities, and shall survive termination of these Terms and your use of our Site or products.

Indemnification: Website Use

You agree to indemnify, defend, and hold harmless Shampoo W and its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising out of or relating to:

Your use of our Site;
Your violation of these Terms;
Your violation of any rights of a third party, penalties, fines, costs, and expenses (including attorneys’ fees and court costs) resulting from any third-party claim arising out of or related to; The unauthorized use of or access to our Site; Content, including claims of infringement or misappropriation of third-party rights; Breach of these Terms by you or any other person; or any act, omission, or misconduct by you or any other person using or accessing our Site.

Prohibited Conduct

By using this Site, you agree not to:

Use our Site for any unlawful or fraudulent purpose;
Circumvent any security features;
Use bots, spiders, or automated tools to access, scrape, or manipulate our Site;
Use any device, software, or routine that interferes, attacks, or disrupts with the proper working of our Site or servers, or introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Impersonate any person or entity, or provide false information.

We reserve the right to terminate your access to our Site for any violation of this section.

Intellectual Property

Our Site’s intellectual property (IP) images, illustrations, text, formats, logos, designs, icons, photographs, video clips, and software which we may own or IP owned by third parties (Getty Images, or Shutterstock, or Pixels, etc.) who have licensed their materials to us, is protected by U.S. and international trademark and copyright laws. No license, right, title, or interest in any materials or software is transferred to you because of your use of our Site or your accessing, viewing, downloading, or printing of the IP. You may not reproduce, publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of or exploit in any way, in whole or in part, any of the IP, our Site or any related software. All software used on our Site is protected by U.S. and international copyright laws. The IP and software on our Site may be used only as a shopping resource. Any other use of the IP not expressly provided for is strictly prohibited.

Nothing contained on our Site grants, or should be construed as granting, by implication, estoppel, or otherwise, any license or right to use Shampoo W^™, Safe Reset^™ any images, marks, trademarks of others, trade names, service marks, or logos displayed on our Site without written permission. To protect our brand and products, we will use some copyrighted images from our Site to determine and prosecute any websites diverting our products and infringing on our copyright. Using any copyrighted images from our Site is expressly prohibited.

Disclaimer of Warranties

OUR SITE AND ALL PRODUCTS SOLD THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SHAMPOO W DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. We do not guarantee that our Site will be error-free, secure, or continuously available.

Third-Party Websites, Applications, Links, and Resources

Our Site may include links to or connect with third-party websites or resources, such as social networking sites (SNS), PayPal, or similar e-commerce or payment processors. You acknowledge that Shampoo W is not responsible for the availability or accuracy of such third-party websites or resources, nor for the content, products, or services offered on or through them. Any links to third-party websites or resources do not imply endorsement by Shampoo W. You assume sole responsibility for using any such third-party websites or resources, as well as for any associated risks.

Arbitration & Waiver of Class Actions

Any dispute, claim, or controversy arising out of or relating in any way to the purchase, use, or misuse of Shampoo W’s products or services shall be resolved exclusively and finally by binding arbitration administered under the rules of the American Arbitration Association (AAA) in accordance with the Federal Arbitration Act and the laws of the State of Michigan, without regard to conflict of law principles. The arbitration shall take place in Wayne County, Michigan, before a single neutral arbitrator mutually agreed upon by the parties, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

By agreeing to these Terms & Conditions, you waive any right to bring or participate in a lawsuit in court against, including the right to a jury trial. You further agrees that all claims shall be brought solely in an individual capacity, and not as a plaintiff, class member, or representative action in any purported class, collective, or representative proceeding.

This arbitration agreement is intended to be as broad and inclusive as permitted by law, and applies to all legal theories of liability, including but not limited to contract, tort, statutory, regulatory, and common law claims. In all cases, the maximum liability of Shampoo W shall be strictly limited to the amount actually paid by you for the product or service at issue.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

General Provisions

A. General Rules of Construction
These Terms will be interpreted in accordance with common principles of construction. Certain terms have specific meanings, as detailed in these Terms.

B. Notices
Notices will be provided in writing via email or by posting on the Site.

C. Controlling Law and Jurisdiction
These Terms and your use of the Services will be governed by the laws of the State of Michigan and the United States, without regard to conflicts of law principles.

D. Severability
If any provision of these Terms is held invalid, the remaining provisions will remain in effect.

E. Waiver and Enforceability
Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement. If any provision is found invalid, the remaining provisions will remain valid and enforceable.

F. Third-Party Beneficiary
These Terms do not confer rights or remedies upon any third party, except for payment card networks, which are considered third-party beneficiaries for purposes of payment provisions.

G. Term and Termination
These Terms are effective upon creation of an Account and will remain in effect until termination by either party.

H. Survival
Certain sections, including those related to definitions, acknowledgments, and disclaimers, orders, returns, intellectual property, limitation of liability, indemnification, dispute resolution, and general provisions, will survive termination.

I. Entire Agreement
These Terms constitute the entire agreement between Shampoo W and you, superseding any prior agreements or understandings.

J. Assignment
These Terms are not assignable by you but may be assigned by Shampoo W.
